These Terms of Service ("Terms") govern your use of the ApexOS platform and any related services, including SMS messaging. By using our platform, you agree to these Terms.

1. Use of the Platform

ApexOS provides an AI-powered scheduling and receptionist service for home services businesses. You may use the platform to request service quotes, schedule appointments, and communicate with home services businesses.

2. SMS Messaging Terms

By providing your phone number through our platform, you agree to receive SMS messages related to your service appointments, including:

• Appointment confirmation requests
• Scheduling notifications and updates
• Cancellation confirmations
• Business owner notifications

Message and data rates may apply. Message frequency depends on your appointment activity. To stop receiving messages, reply STOP at any time. Reply HELP for assistance.

3. User Responsibilities

You agree to:

• Provide accurate contact and service request information
• Use the platform only for legitimate service scheduling purposes
• Not use the platform to send spam, harassment, or unlawful content
• Notify us if you believe your information has been used without your authorization

4. AI-Powered Communications Disclosure

ApexOS uses artificial intelligence to answer calls, respond to text messages, and conduct chat conversations on behalf of home services businesses. When you interact with our platform, you may be communicating with an automated AI assistant rather than a human. Voice responses may use a synthetic (AI-generated) voice.

AI-generated responses may occasionally be inaccurate or incomplete. Appointment times, quotes, and other details provided by the AI are not final until confirmed by the home services business. You should verify any important information directly with the business.

5. User-Generated Content

Our platform lets you submit content, including messages, service descriptions, notes, and other information you provide through chat, phone, or SMS ("User Content").

• Your responsibility. You are solely responsible for the User Content you submit. You represent that you have the right to submit it and that it does not violate any law or third-party right.
• License to us. By submitting User Content, you grant ApexOS a non-exclusive, royalty-free license to store, process, and use that content solely to operate and improve the platform and to deliver your request to the relevant home services business.
• Prohibited content. You may not submit content that is unlawful, threatening, harassing, defamatory, fraudulent, infringing, or that contains malware.
• Removal. We reserve the right, but have no obligation, to review, remove, or disable access to any User Content at our discretion.
• No liability for User Content. ApexOS does not endorse and is not responsible for any User Content. We are not liable for any loss or damage arising from content submitted by users.

6. DMCA / Copyright Notices

If you believe content on our platform infringes your copyright, send a written notice to info@millymediamarketing.com including: (a) identification of the copyrighted work, (b) identification of the allegedly infringing material, (c) your contact information, (d) a statement of good-faith belief that the use is unauthorized, and (e) a statement, under penalty of perjury, that the notice is accurate and you are authorized to act. We will respond to valid notices in accordance with applicable law.

7. Service Availability

We strive to maintain platform availability but do not guarantee uninterrupted service. We reserve the right to suspend or discontinue the platform at any time with reasonable notice.

8. Limitation of Liability

ApexOS is a scheduling and communication platform. We are not responsible for the quality, safety, or outcome of services provided by home services businesses using our platform. Any disputes regarding services should be resolved directly with the business.

To the maximum extent permitted by law, ApexOS shall not be liable for any indirect, incidental, or consequential damages arising from use of the platform.

9. Binding Arbitration and Class Action Waiver

Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court.

You and ApexOS agree that any dispute, claim, or controversy arising out of or relating to these Terms or the platform will be resolved by binding individual arbitration, rather than in court, except that either party may bring an individual claim in small-claims court. Arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will take place in Cobb County, Georgia, or by phone or video where permitted.

Class action waiver. You and ApexOS agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding. The arbitrator may not consolidate more than one person's claims.

30-day opt-out. You may opt out of this arbitration agreement by sending written notice to info@millymediamarketing.com within 30 days of first accepting these Terms. Your notice must include your name, the phone number or email you used, and a clear statement that you wish to opt out of arbitration. If you opt out, disputes will be resolved in the courts described below.

10. Governing Law and Venue

These Terms are governed by the laws of the State of Georgia, without regard to its conflict-of-laws rules. For any dispute not subject to arbitration, you and ApexOS consent to the exclusive jurisdiction of the state and federal courts located in Cobb County, Georgia.

11. Privacy

Your use of the platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

12. Changes to Terms

We may update these Terms from time to time. Continued use of the platform after changes constitutes acceptance of the updated Terms.
